Response to Capital Markets Commission letter – Announcement

HELLENIC Petroleum S.A. (“the Company”) announces that following recently published press reports, referring to the disposal of shares of HELLENIC PETROLEUM A.E. by its main shareholders, i.e. PANEUROPEAN OIL & INDUSTRIAL HOLDINGS S.A. (POIH) and the Hellenic Republic Asset Development Fund A.E. (HRADF) and pursuant to a request by the Capital Markets Commission, the Company has received, in response to a relevant query, information by the aforementioned shareholders; according to which, the Hellenic Republic and POIH are in negotiations for the potential joint sale of a majority participation in HELLENIC PETROLEUM S.A, the process for such joint sale and the governance of their relation. According to information received by the shareholders, their discussions have not yet concluded; such conclusion is expected in the near future. The HRADF and POIH will proceed to the necessary announcements, when the relevant conditions are met and in accordance with applicable law.

Notification of completion of transaction

HELLENiQ ENERGY Holdings S.A. (the “Company”), following the announcement dated 7.12.2023, announces that, pursuant to a joint notification received on 8.12.2023 by its shareholders, Hellenic Republic Asset Development Fund S.A. and Paneuropean Oil & lndustrial Holdings S.A., was informed of the pricing of the international private placement, through an accelerated book-building offering in the context of their decision to dispose of part of their shares in the Company. Notification by HRADF and POIH for the decision to dispose of certain of their shares in HELLENiQ ENERGY Holdings S.A.

HELLENiQ ENERGY Holdings S.A. (the “Company”) announces that on 7.12.2023, following a letter sent by its shareholders, Hellenic Republic Asset Development Fund S.A. ("HRADF") and Paneuropean Oil & lndustrial Holdings S.A. ("POIH"), was informed of their decision to dispose of certain of their shares in the Company on a pro-rata basis, through an international private placement, in accordance with the provisions of the HRADF Law and the HRADF’s updated Asset Development plan. Notification of appointment of Market Makers

HELLENiQ ENERGY Holdings S.A. (the "Issuer") announces that the Listings and Market Operation Committee of the Athens Stock Exchange (“ΑΤΗΕΧ”), with its decisions of 30/10/2023 and 01/11/2023, approved the appointment of the ATHEX Members "Eurobank Equities S.A." and "Alpha Finance S.A." as Market Makers on the Issuer's shares, with Wednesday, 1 November 2023 and Tuesday, 7 November 2023, respectively, set as the start dates of the Market Making obligations.
