Completion of publication formalities of the Draft Demerger Deed - Availability of the Draft Demerger Deed

“HELLENIC PETROLEUM S.A.” (the “Company”) announces that according to article 65 par. 1 in conjunction with article 60 of law 4601/2019, the draft demerger deed by way of hive-down of its refining, supply & trading of oil products and petrochemical sector with the incorporation of a new company, which was approved by the Board of Directors on 30.09.2021, has been registered with the General Commercial Registry and published on its website on 12.10.2021 and on the website of the Company (https://www.helpe.gr/en/investor-relations/CorporateTransformation/SupportingMaterial/) on 30.9.2021.

Notification of completion of transaction

HELLENiQ ENERGY Holdings S.A. (the “Company”), following the announcement dated 7.12.2023, announces that, pursuant to a joint notification received on 8.12.2023 by its shareholders, Hellenic Republic Asset Development Fund S.A. and Paneuropean Oil & lndustrial Holdings S.A., was informed of the pricing of the international private placement, through an accelerated book-building offering in the context of their decision to dispose of part of their shares in the Company. HELLENiQ ENERGY Holdings S.A. (the “Company”) announces that on 7.12.2023, following a letter sent by its shareholders, Hellenic Republic Asset Development Fund S.A. ("HRADF") and Paneuropean Oil & lndustrial Holdings S.A. ("POIH"), was informed of their decision to dispose of certain of their shares in the Company on a pro-rata basis, through an international private placement, in accordance with the provisions of the HRADF Law and the HRADF’s updated Asset Development plan. (the "Issuer") announces that the Listings and Market Operation Committee of the Athens Stock Exchange (“ΑΤΗΕΧ”), with its decisions of 30/10/2023 and 01/11/2023, approved the appointment of the ATHEX Members "Eurobank Equities S.A." and "Alpha Finance S.A." as Market Makers on the Issuer's shares, with Wednesday, 1 November 2023 and Tuesday, 7 November 2023, respectively, set as the start dates of the Market Making obligations.
