Completion of acquisition of RES portfolio and development platform

HELLENiQ ENERGY Holdings S.A. informs the investment community that its wholly-owned subsidiary, HELLENiQ RENEWABLES, successfully completed on 30 June 2025 the acquisition from ABO ENERGY GmbH & Co. KGaA of the entire share capital of ABO ENERGY HELLAS S.A., as well as six (6) affiliated entities, which hold a portfolio of 22 RES project clusters under development in Greece, with a total capacity of 1.5 GW, in addition to a RES project development and construction platform. The portfolio comprises projects across all RES technologies, including battery storage (BESS) projects.

This acquisition increases HELLENiQ RENEWABLES’ portfolio of RES projects under development to more than 6 GW, accelerating the implementation of the HELLENiQ ENERGY Group's strategic objective to achieve at least 2 GW of installed capacity from RES by 2030.

Completion of the transfer of 35% of the share capital of DEPA Commercial to HRADF

Pursuant to the announcement dated 19 December 2024, HELLENiQ ENERGY Holdings S.A. (the “Company”), announces that on 30 December 2024 the transfer of the Company's 35% participation in the share capital of DEPA Commercial S.A. to the Hellenic Republic Asset Development Fund S.A. (HRADF) was completed.

Signing of an agreement for the sale and transfer of HELLENiQ ENERGY Holdings’ stake in DEPA Commercial S.A.

Pursuant to a prior announcement, HELLENiQ ENERGY Holdings S.A. (the “Company”), informs the investor community that today, 19 December 2024, an agreement for the sale and transfer (the “Transaction”) of the Company’s 35% stake in DEPA Commercial S.A. (“DEPA”) was signed between the Company, as the seller, and the “Hellenic Republic Asset Development Fund S.A.” (“HRADF”), as the buyer.
