APPROVAL OF PROPOSED AMMENDMENTS IN RESPECT OF THE GUARANTEED NOTES €599,900,000 DUE 2024

“Hellenic Petroleum S.A.” (the Guarantor), following its announcement dated 2 November 2021 in relation to the initiation of the consent solicitation procedure (the Consent Solicitation) from the holders (the Holders) of the 2% €599,900,000 notes, due in October 2024, issued by its subsidiary “Hellenic Petroleum Finance plc” and guaranteed by the Guarantor (ISIN: XS2060691719) (the Notes), announces that:

  • On 24 November 2021, an extraordinary meeting of the Holders was held and Holders of 91% of the aggregate principal amount of the Notes were represented at the meeting.
  • The meeting approved the proposed amendments to the terms of the Notes, with 99,6% of the participating Holders voting in favour.

Andreas Shiamishis, Group CEO of Hellenic Petroleum S.A. commented: “We are very pleased with the outcome of the noteholders meeting. The overwhelming majority that noteholders approved the resolution confirms the support of our debt investors in our updated strategy announced earlier this year. The implementation of our strategic transformation plan is in process, aiming for the new Group corporate structure to be in place in the beginning of 2022.”

 

The Consent Solicitation is not addressed, directly or indirectly, to the public in the Hellenic Republic (Greece). This announcement, the Consent Solicitation and any other documents or materials relating to the Notes and the Consent Solicitation do not constitute an "offer of securities to the public", each within the meaning of Greek law 3401/2005 or the Regulation (EU) 2017/1129 or a “tender offer” within the meaning of Greek law 3461/2006, for the purchase, sale, or exchange, or otherwise for an investment in, securities in the territory of Greece.  Accordingly, none of the documents or materials relating to the Notes and the Consent Solicitation have or will be submitted to the Hellenic Capital Market Commission for approval pursuant to these laws.
