Announcement - DESFA Offer Acceptance

The Boards of Directors of HELLENIC PETROLEUM SA (HELPE) and HRADF SA have decided today to accept the €535 million bid of the Snam S.p.A., Enagás Internacional S.L.U. and Fluxys S.A. Joint Venture, for the sale of 66% of the share capital of DESFA SA (35% participation of HELPE and 31% participation of HRADF). HELPE share of proceeds from the sale amounts to €283.7 million.

Furthermore, the Board of Directors of HELPE invited its shareholders for an Extraordinary General Meeting on 14 May 2018 to approve the aforementioned transaction, as required by law.

It is noted that the completion of the transaction is subject to the approval of the competent regulatory authorities.

Barclays Bank PLC, through its investment bank, served as financial advisor to the Company, while Clifford Chance acted as international legal advisor on European Law issues.

Notification of completion of transaction

HELLENiQ ENERGY Holdings S.A. (the “Company”) announces that on 7.12.2023, following a letter sent by its shareholders, Hellenic Republic Asset Development Fund S.A. ("HRADF") and Paneuropean Oil & lndustrial Holdings S.A. ("POIH"), was informed of their decision to dispose of certain of their shares in the Company on a pro-rata basis, through an international private placement, in accordance with the provisions of the HRADF Law and the HRADF’s updated Asset Development plan. HELLENiQ ENERGY Holdings S.A. (the "Issuer") announces that the Listings and Market Operation Committee of the Athens Stock Exchange (“ΑΤΗΕΧ”), with its decisions of 30/10/2023 and 01/11/2023, approved the appointment of the ATHEX Members "Eurobank Equities S.A." and "Alpha Finance S.A." as Market Makers on the Issuer's shares, with Wednesday, 1 November 2023 and Tuesday, 7 November 2023, respectively, set as the start dates of the Market Making obligations.
